PROGRAM SERVICES AGREEMENT
This Program Services Agreement (the “Agreement”) dated this 24
th
of May 2021 is by
and between The Ascent Project, Inc., a 501(c)(3) organization incorporated in Georgia
(“TAP”) and Centennial Academy Charter School (“Customer”) (together, the “Parties” and
separately, a “Party”).
WHEREFORE, TAP has agreed to provide program services to Customer on the terms
and conditions in this Agreement, and Customer has concluded that TAP as the proper and
necessary qualifications, experience, and abilities to provide program services to the Customer,
NOW THEREFORE, in consideration of the matters described herein, and other good
and valuable consideration, the receipt and sufficiency are hereby acknowledged, TAP and the
Customer agree as follows:
1. Scope of work. TAP agrees to provide 250 youth with enriched programs for 3
weeks, (Mondays-Thursdays), for 2 hours each day, starting June 7th. The Parties agree to
cooperate and work with each other to enable effective programs. The scope of work will
include any other services which TAP and the Customer may agree upon in writing, which
writing will be attached as an amendment to this Agreement.
2. Term of Agreement. This Agreement will begin on June 7
th
, 2021 and continue
until June 25
th
, 2021.
3. Termination. If either Party seeks termination of this Agreement, the
terminating Party must discuss and both Parties must agree to conditions of
termination.
4. Compensation. Centennial Academy will compensate TAP for their
programmatic services. Compensation will total $115,440, at least 50% of compensation due
on or before Friday, May 28
th
and the balance due by the completion of the program.
Attachment A is schedule of activities each day by grade and class.
5. Insurance. TAP confirms that each partner providing services will maintain
commercial general liability insurance with at least coverage in the general aggregate amount of
$2,000,000; products amount of $2,000,000; personal injury in the amount of $1,000,000; each
occurrence in the amount of $1,000,000; and medical expenses per any one person in the
amount of $5,000. In addition, TAP will maintain copies of Certificates of Liability for each
partner who will be conducting services on the Centennial Academy property.
6. Modification of Agreement. Modifications or amendments to this Agreement
will be binding only if evidenced in writing, signed by each Party.
7. Dispute resolution. In the event the Parties have a dispute arising from this
Agreement or the services provided pursuant to this Agreement, the Parties agree to use their
best efforts to resolve the dispute. If the Parties cannot resolve the dispute, they agree to use
their best efforts to resolve their dispute through a mutually acceptable mediator. In the event
