Fee & Service Agreement
Fee Amount: You acknowledge that there is a fee associated with any offer that you accept
from Zoryn Capital & its Funding-Partners. Such fee equals 3% of the total amount funded.
Such fee is due & payable only if you have been funded or have had a Credit Line activated.
Timing of Payment: You acknowledge and accept to pay the agreed-upon fee to Zoryn
Capital via Bank Wire Transfer within 3 BUSINESS-DAYS after funds have been received and
cleared in your bank account or following the activation of your Credit Line.
Non-Circumvention Clause: >> You agree that if, for a period of thirty-six months
(36) from the date of this Agreement, you secure any direct financing from the
Lender/Investor or affiliates introduced by Zoryn Capital or its successors, you shall
compensate Zoryn Capital a commission of 3% of the total amount funded as if the
application was fully processed by Zoryn Capital.
This agreement shall remain valid for a period of thirty-six months from the date of signing
this Agreement. The terms of this Agreement may only be changed in writing and signed by
both parties.
This Agreement is governed by the laws of the State of New York without regard to principles of
conflicts of laws. The parties irrevocably agree that the exclusive jurisdiction and venue for any
litigation arising out of or relating to this Agreement or the services performed pursuant hereto
shall be in the federal or state courts located in New York County, NY.
