
This Fiscal Sponsorship Agreement (“Agreement”) is made and shall be effective as of
7/1/2022, (the “Effective Date”) by and between NOPI - Nonprofit Incubator, a
Massachusetts nonprofit corporation (referred to herein as “Sponsor”), and Indigenous
Peoples Day Newton (referred to herein as “Project”).
The Project’s mission is to bring visibility and voice to Indigenous People in the City of
Newton, MA by planning and producing an annual ceremonial celebration on Indigenous
Peoples Day in Newton, as more fully set forth in Exhibit A.
Sponsor, through its Board of Directors, has determined that fiscal sponsorship of the
Project is consistent with Sponsor’s goals and charitable mission and wishes to make
arrangements for the implementation and operation of the Project.
Sponsor is a nonprofit corporation, exempt from federal tax under section 501(c)(3) of the
Internal Revenue Code, as amended (the “Code”). Sponsor exists for purposes which,
according to its bylaws, shall be organized and operated exclusively for charitable,
scientific, and educational purposes. Sponsor also exists to fulfill the mission of providing
new and emerging nonprofits resources that ensure positive impact, sustainable growth,
and long-term success.
In consideration of the mutual agreements set forth in this Agreement, the receipt and
sufficiency of which are acknowledged, Sponsor and the Project hereby agree as follows:
1. Agreement. This Agreement is effective as of the Effective Date and shall continue
until one 1 year following the Effective Date, at which time it shall automatically renew
for successive one 1 year periods until terminated as provided in Section 15 below.
Sponsor hereby agrees to sponsor and support the Project as set forth in this Agreement
and as set forth in Exhibit B (the “Services”). If Project desires additional services from
Sponsor or its staff beyond the support described in Exhibit C, and Sponsor agrees to
