Referral Agreement
This Agreement, dated effective ＿＿＿＿＿＿＿＿, is entered into between Andromeda LLC
(hereinafter “Andromeda”) and ＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿ (hereinafter “Affiliate”),
also individually referred to as “Party”, and collectively as “the Parties.”
1. Purpose. Andromeda is in the business of providing software development and consulting
services which may include design, development, QA, accessibility, support, and other
services. Andromeda wishes to gain additional clients, and the Affiliate is in a position to refer
potential clients to Andromeda.
2. Referral Arrangement. Upon the Effective Date of this Agreement, the Affiliate may, from
time to time, refer potential clients to Andromeda. Andromeda will pay the Affiliate a
commission for each such referral, provided the referral results in a signed agreement with
the referred client within 12 months of the initial introduction, and that Andromeda does not
already have an existing relationship with that potential client.
3. Compensation. Andromeda shall pay the Affiliate a commission of 5% of the monthly
revenue earned from each successful referral, for a total of 12 consecutive months up to a
maximum compensation of $50,000 per referral.
Andromeda shall send payment to the Affiliate by the fifteenth day of each month including
all commissions due from payments collected in the previous calendar month from the
referred client. If the Affiliate is also a Client of Andromeda, the commission shall first be
applied to the Affiliate’s account before remitting a payment.
4. Term. This Agreement will commence on the effective date above and shall renew
annually until either party chooses to cancel the Agreement as outlined below.
5. Confidentiality. During the course of this Agreement, it may be necessary for Andromeda
and the Affiliate to exchange proprietary information, including trade secrets, industry
knowledge, and other confidential information, in order for the Affiliate to seek out potential
referrals.
Affiliate agrees to maintain confidentiality of such proprietary information, including
Andromeda’s processes, documentation, and this Agreement. Both parties agree that any
content or materials approved for publication on a public-facing website or social media are
by definition not confidential.
Andromeda agrees to maintain confidentiality of the Affiliate’s proprietary information
including trade secrets and business practices at all times, unless disclosure is granted in
